What You Need to Know (Before Reading the Full Terms)
Here is a plain English summary of the key points. Please read these carefully - they explain exactly when you will get paid, when you will not get paid, and how the payout process works.
1. What You Earn
- +You earn GBP 5.00 for each person who signs up using your referral code
- +They save GBP 5.00 on their first month (so they benefit too)
2. IMPORTANT: When You Get Paid (The 14-Day Wait)
Your reward is NOT credited immediately. There is a mandatory 14-day waiting period after someone signs up before your reward is added to your balance.
Why 14 days?
UK law (the Consumer Contracts Regulations 2013) gives all consumers a 14-day "cooling off" period where they can cancel any online subscription and get a full refund, no questions asked. We wait until this period has passed before crediting your reward.
Example:
If Sarah signs up on 1st February using your referral code, your GBP 5.00 reward will be credited to your balance on 15th February (assuming Sarah's subscription remains active).
3. IMPORTANT: When You Will NOT Get Paid (The 30-Day Rule)
If the person you referred cancels within 30 days, you will NOT receive any reward.
Here is exactly what happens:
- Days 1-14: Your reward is pending (waiting for the cooling-off period to end)
- Day 15: Your reward is credited to your balance (if they have not cancelled)
- Days 15-30: If they cancel during this window, your reward is removed from your balance
- Day 31+: Your reward is secure (cancellations after day 30 do not affect your reward)
Example:
If James signs up on 1st March using your code, and cancels on 25th March (within 30 days), you will NOT receive any reward - even though the reward may have been temporarily credited to your balance on 15th March.

5. How You Get Your Money (Stripe Connect)
- 1.You set up a Stripe account - this is where your money will be sent. Stripe is a secure payment platform used by millions of businesses worldwide.
- 2.Your rewards accumulate in your BundleCreator balance until you request a payout
- 3.Minimum payout is GBP 10.00 - you need at least 2 successful referrals before you can withdraw
- 4.Payouts take 5-7 business days to reach your bank account
6. What Counts as Fraud (And What Happens)
We take fraud seriously. Here are things that will get you banned from the programme:
- X Referring yourself or accounts you control
- X Creating fake accounts or using fake identities
- X Asking people to sign up and then cancel (to get the reward)
- X Spamming people or making false claims about BundleCreator
Consequences: Loss of ALL rewards (including those already credited), permanent ban, and potential legal action.
7. ENTERPRISE REFERRAL LIMITS (Read This Carefully)
The GBP 5.00 reward is for INDIVIDUAL subscriptions only.
If you refer an organisation, business, or law firm that purchases multiple subscriptions, your rewards are CAPPED at GBP 50.00 (10 subscriptions maximum) under the standard programme.
Example:
You refer Major Law LLP. They purchase 50 subscriptions.
You receive: GBP 50.00 (capped at 10 referrals)
You do NOT receive: GBP 250.00 (50 x GBP 5.00)

Important Notice
These Referrer Terms ("Referrer Terms") constitute a legally binding agreement between you ("Referrer", "You", "Your") and Steleo Publishing Limited ("Company", "BundleCreator", "We", "Us", "Our") governing your participation in the BundleCreator Rewards Programme. By applying to become a Referrer or participating in the programme, you acknowledge that you have read, understood, and agree to be bound by these terms.
Full Legal Terms
The following sections contain the complete legal terms that govern your participation in the BundleCreator Rewards Programme. The "Key Points" summary above is provided for convenience only - these full terms are the legally binding agreement.
1. Programme Overview and Eligibility
1.1 Programme Description: The BundleCreator Rewards Programme enables approved Referrers to earn rewards by referring new customers to the BundleCreator service.
1.2 Current Reward Structure:
- Referrer Reward: Five pounds sterling (GBP 5.00) per qualifying referral
- Customer Discount: Five pounds sterling (GBP 5.00) off the referred customer's first month subscription
1.3 Eligibility Requirements: To participate, you must:
- Be at least 18 years of age
- Be a resident of the United Kingdom or have a valid UK bank account
- Provide accurate and complete registration information
- Comply with all applicable laws and these Referrer Terms
- Not be an employee, director, or contractor of Steleo Publishing Limited (unless specifically authorised)
1.4 Application and Approval: Participation requires application and approval. We reserve the right to accept or reject any application at our sole discretion.
3. Referral Code Requirements
In Plain English:
Your referral code is how people identify you and your recommendations. It must be appropriate, not misleading, and not infringe on anyone else's rights. We have automated systems that check codes against a blocklist of prohibited terms.
3.1 Format Requirements
Your Referral Code must:
- contain only letters (A-Z), numbers (0-9), and hyphens (-);
- be between 3 and 20 characters in length;
- not start or end with a hyphen;
- not contain consecutive hyphens (--).
3.2 Prohibited Content
Your Referral Code must NOT contain:
Offensive or Inappropriate Language
Profanity, discriminatory terms, slurs, or any language that could be considered offensive, hateful, or inappropriate in a professional legal context.
Protected or Regulatory Terms
References to regulatory bodies, government departments, or terms that could suggest official endorsement, including but not limited to:
- Law Society, SRA, Solicitors Regulation Authority
- Bar Standards Board, BSB, Bar Council
- Ministry of Justice, MoJ, HMCTS
- Supreme Court, High Court, Family Court
- Words like "official", "endorsed", "certified", "authorised"
Trademarked or Competitor Terms
Names of other companies, products, or services, particularly legal technology competitors. This protects both trademark holders and prevents confusion.
Reserved Terms
Certain terms are reserved for internal use and cannot be used as referral codes, including: admin, test, demo, trial, free, beta, staff, system, support, and bundlecreator.
3.3 Our Rights Regarding Codes
We reserve the right to:
- reject any Referral Code that does not meet these requirements;
- modify or revoke any Referral Code that we consider, in our sole discretion, to be inappropriate, misleading, or potentially damaging to our reputation;
- require you to change your Referral Code if we receive complaints or become aware of issues;
- suspend your participation in the programme if you repeatedly submit prohibited codes.
3.4 Code Uniqueness
Each Referral Code must be unique within our system. If your preferred code is already taken, you will need to choose an alternative. We allocate codes on a first-come, first-served basis and do not mediate disputes over code ownership except in cases of clear trademark infringement.
3.5 Code Transfer Prohibited
Your Referral Code is personal to you. You may not sell, trade, auction, give away, or otherwise transfer your Referral Code to another person. Any attempt to transfer your code will result in immediate termination of your participation in the programme and forfeiture of any unpaid commissions.

2. Reward Crediting and the 14-Day Waiting Period
In Plain English:
When someone signs up using your referral code, you will not receive your GBP 5.00 reward immediately. Instead, we wait 14 days before adding the reward to your balance. This is because UK consumer law gives everyone 14 days to change their mind and cancel any online subscription. We cannot pay you for a referral until we know the person is actually staying.
2.1 Why We Wait 14 Days (The Legal Reason)
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, every UK consumer has a statutory 14-day "cooling off" period. During this time, they can cancel their subscription for any reason and receive a full refund. This is a legal right that we cannot override.
Because the customer might exercise this right, we cannot confirm that a referral is "successful" until the 14-day period has passed without cancellation.
2.2 How the 14-Day Waiting Period Works
- Day 1: The person you referred signs up and makes their first payment. Your referral is marked as "pending" in your dashboard.
- Days 2-14: The referred customer's 14-day cooling-off period is running. Your reward remains "pending".
- Day 15: If the customer has not cancelled, your GBP 5.00 reward is automatically credited to your balance.
Worked Example:
Emma shares her referral code with her colleague David. David signs up for BundleCreator on 10th March and pays for his first month. Emma's reward shows as "pending" in her referral dashboard. On 24th March (14 days later), the cooling-off period ends and - because David has not cancelled - Emma's GBP 5.00 reward is automatically added to her balance.
2.3 What Qualifies as a Successful Referral
For a referral to qualify and earn you a reward, ALL of the following must be true:
- Genuinely new customer: The person must never have had a BundleCreator subscription before
- Your code was used: They must enter your referral code correctly during checkout
- Payment succeeded: Their first payment must process successfully (not declined)
- Stayed 14 days: They must not cancel during the 14-day cooling-off period
- Legitimate referral: The referral must comply with these terms (no fraud, no self-referral)
2.4 Automatic Crediting
You do not need to do anything once someone uses your code. Our system automatically tracks the 14-day period and credits your reward to your balance when eligible. You can see the status of all your referrals in your referral dashboard.
Please Note: Even after your reward is credited on Day 15, it can still be removed if the customer cancels within 30 days. See Section 3 (Clawback Provisions) below for full details.
3. The 30-Day Clawback Rule (When Rewards Can Be Taken Back)
In Plain English:
Even after your GBP 5.00 reward is credited to your balance (on Day 15), it can still be taken back if the person you referred cancels within 30 days of signing up. This is called a "clawback". After 30 days, your reward is secure and will not be affected by future cancellations.
Important: Your reward is not fully "safe" until Day 31
Many referral programmes only have a 14-day waiting period. Ours has an additional 16-day "clawback" window (Days 15-30). This protects against fraudulent "subscribe-and-cancel" schemes.
3.1 The 30-Day Protection Period Explained
We operate a 30-day protection period from the date of sign-up. Here is how it works:

3.2 Examples to Help You Understand
Example A: Successful Referral (You Get Paid)
Tom refers his friend Lisa. Lisa signs up on 1st April. She enjoys BundleCreator and keeps using it. On 15th April, Tom's GBP 5.00 reward is credited. Lisa continues her subscription past 1st May (Day 31). Tom's reward is now permanent - even if Lisa cancels on 15th May, Tom keeps his GBP 5.00.
Example B: Cancellation in First 14 Days (No Reward)
Maria refers her colleague James. James signs up on 1st June, but decides on 8th June (Day 8) that it's not for him and cancels. Maria's reward was still "pending" and simply disappears - it was never credited to her balance.
Example C: Cancellation Between Days 15-30 (Clawback)
Sophie refers her brother Michael. Michael signs up on 1st July. On 15th July, Sophie's GBP 5.00 reward is credited to her balance. However, Michael cancels on 22nd July (Day 22). Because this is within the 30-day window, Sophie's GBP 5.00 is removed from her balance (clawed back). She ends up with nothing from this referral.
3.3 Other Situations Where Rewards Are Clawed Back
Beyond cancellations within 30 days, your reward can also be clawed back if we later discover that:
- Refund was issued: The referred customer received any refund within 30 days
- Payment was disputed: The customer's bank reversed the charge (chargeback)
- Fraud was involved: The referral was part of a fraudulent scheme (see Section 6)
- Self-referral: You referred yourself or someone you control (e.g., a family member's account you manage)
- Terms breach: Either you or the referred customer breached BundleCreator's Terms of Service
3.4 How Clawback Works Technically
If a clawback occurs, the GBP 5.00 is simply deducted from your current balance. If your balance is less than GBP 5.00, your balance goes to zero and future rewards are applied against the shortfall until it is recovered.
Example: You have GBP 8.00 in your balance. One of your referrals cancels on Day 25, triggering a GBP 5.00 clawback. Your balance becomes GBP 3.00.
3.5 No Self-Referral (This is Important)
You may not refer yourself under any circumstances. This includes:
- Using your own referral code to sign up
- Creating multiple accounts and referring between them
- Referring accounts that you control or manage (e.g., signing up a family member using your email access)
- Colluding with others to create fake referrals
Self-referrals will be detected and will result in voiding of ALL rewards and potential termination from the programme.
Summary: When Is My Reward Safe?
Your reward is fully secure and cannot be taken back once 31 days have passed from the date the person you referred signed up, provided there is no fraud or terms breach. Until Day 31, any cancellation, refund, or chargeback will result in your reward being removed.
4. How You Get Paid (Stripe Connect)
In Plain English:
To receive your referral rewards, you need to set up a free Stripe account. Stripe is a secure payment platform used by millions of businesses (including Shopify, Amazon, and Google). When you request a payout, we send the money to your Stripe account, and Stripe transfers it to your bank. We never see or store your bank details - Stripe handles all of that securely.
4.1 Step-by-Step: How Payouts Work
Set up your Stripe account (one-time)
When you join the referral programme, you will be guided to create a free Stripe account. This takes about 5 minutes and requires your name, address, and bank details. Stripe may ask for ID verification.
Earn rewards from successful referrals
Each time someone signs up using your code and stays for 14+ days, GBP 5.00 is added to your BundleCreator referral balance.
Reach the minimum payout threshold
You need at least GBP 10.00 in your balance before you can request a payout. This means you need a minimum of 2 successful referrals.
Request a payout
From your referral dashboard, click "Request Payout" when your balance is at least GBP 10.00. Your request is reviewed (usually within 1-2 business days) as a fraud check.
Money arrives in your bank
After approval, we send the money to your Stripe account. Stripe then transfers it to your bank. Total time from request to bank arrival: typically 5-7 business days.
4.2 Important Details About Payouts
- iMinimum payout: GBP 10.00 (you need at least 2 successful referrals)
- iCurrency: All payouts are in British Pounds (GBP)
- iProcessing time: 5-7 business days after approval
- iFees: BundleCreator does not charge any payout fees. However, your bank may charge receiving fees (check with them).
- iStripe fees: Stripe may charge fees for certain payout methods. These are your responsibility.
4.3 Your Relationship with Stripe
When you create a Stripe account to receive payouts, you enter into a direct legal agreement with Stripe. This is separate from your agreement with BundleCreator. Key points:
- You agree to Stripe's terms: By setting up your account, you agree to the Stripe Connected Account Agreement
- Your bank details are with Stripe: BundleCreator never sees or stores your bank account number. Stripe handles all banking information securely.
- Stripe handles disputes: If you have issues receiving money, you may need to contact Stripe directly
- We are not responsible for Stripe: If Stripe experiences delays, technical issues, or policy changes, we cannot control or compensate for these
4.4 What If I Cannot Set Up a Stripe Account?
Stripe Connect is the only way to receive payouts from the BundleCreator Rewards Programme. If you cannot set up a Stripe account (e.g., you are in a country Stripe does not support, or you fail identity verification), you will not be able to receive cash payouts. Rewards will remain in your BundleCreator balance but cannot be withdrawn.
4.5 What Happens to Small Balances?
If your balance is below GBP 10.00, you cannot request a payout. Your balance will remain in your account and accumulate as you make more referrals. If you leave the programme with a balance below the minimum threshold, that balance is forfeited (lost).
Example: You have GBP 5.00 from one successful referral. You decide to leave the programme. Because GBP 5.00 is below the GBP 10.00 minimum, you cannot withdraw it and it is forfeited.
5. Tax Obligations
5.1 Your Responsibility: You are solely responsible for tax obligations arising from referral rewards, including:
- Income tax on referral rewards
- National Insurance if applicable
- VAT registration if your turnover exceeds the threshold
- Reporting requirements to HMRC
5.2 No Tax Advice: BundleCreator does not provide tax advice. Consult a qualified professional regarding your tax obligations.
5.3 Tax Reporting: We may report payment information to HMRC as required by law.
6. Fraud, Abuse, and What Happens If You Break the Rules
In Plain English:
We want the referral programme to be fair for everyone. This section explains what we consider fraud or abuse, and what happens if you break the rules. We take fraud very seriously - it is not just about losing your rewards. Serious cases can result in legal action.
6.1 What Counts as Fraud or Abuse?
The following activities are strictly prohibited and will result in consequences:
Self-Referral
Referring yourself or accounts you control in any way. This includes signing up with a different email, using a family member's name, or creating accounts for people who did not ask you to.
Example: Creating a second account using your partner's email and your own referral code.
Fake or Fraudulent Referrals
Referring people who do not actually exist, using stolen identities, or using fake payment details.
Example: Signing up "test accounts" using made-up names and prepaid cards.
Subscribe-and-Cancel Schemes
Asking or incentivising people to sign up just to get you the reward, with the understanding that they will cancel soon after.
Example: "Sign up using my code and I'll give you GBP 3 back once I get my reward - you can cancel after 15 days."
Incentive Manipulation
Offering to share your reward with the person you refer, or asking them to sign up for reasons other than genuinely wanting to use BundleCreator.
Example: "Use my code and I'll split the GBP 5 with you."
False or Misleading Claims
Making untrue statements about BundleCreator, exaggerating features, or claiming endorsements or partnerships that do not exist.
Example: "BundleCreator is officially recommended by the Law Society" (if it is not).
Spam or Unsolicited Marketing
Sending bulk emails, messages, or communications to people who have not asked to hear from you. This includes posting your code on forums without disclosure.
Example: Scraping email addresses from LinkedIn and sending 1,000 promotional emails.
Multiple Referrer Accounts
Creating multiple BundleCreator accounts to circumvent programme limits or to refer between your own accounts.
Example: Creating 5 different accounts to get 5 different referral codes.
6.2 What Happens If You Break the Rules?
If we detect fraud or abuse, we will take action. The severity of our response depends on the nature and scale of the violation:
Level 1: Minor First-Time Violations (Warning)
For minor, unintentional violations (e.g., unclear disclosure on a social media post), we may issue a warning and ask you to correct the issue.

- - Your account remains active
Level 2: Moderate Violations (Reward Forfeiture)
For more serious violations or repeated minor violations, we will void affected rewards and may suspend your referral privileges.
- - Specific referral rewards voided (not paid)
- - Pending rewards may be cancelled
- - Temporary suspension from programme (typically 30-90 days)
Level 3: Serious Violations (Full Termination)
For deliberate fraud, self-referral schemes, or multiple violations, we will terminate your participation entirely.
- - ALL rewards voided (including previously credited amounts)
- - Entire account balance forfeited (no payout)
- - Permanent ban from the referral programme
- - Your BundleCreator user account may also be terminated
Level 4: Criminal or Large-Scale Fraud (Legal Action)
For large-scale fraud, identity theft, or criminal activity, we will pursue legal remedies and report to law enforcement.

- - Claims for damages and legal costs
- - Report to law enforcement (e.g., Action Fraud, police)
- - Report to credit reference agencies where appropriate
6.3 How Do We Detect Fraud?
We use automated systems and manual review to detect suspicious activity, including:
- IP address analysis (detecting multiple accounts from same location)
- Device fingerprinting (detecting accounts created on same device)
- Payment pattern analysis (detecting unusual payment methods)
- Cancellation pattern monitoring (detecting subscribe-and-cancel schemes)
- Manual review of high-volume referrers
Our systems are designed to detect fraud. If you are thinking of gaming the system, please reconsider - it is not worth the risk.
6.4 What If I Think I've Been Wrongly Accused?
If we take action against your account and you believe it was a mistake, you can appeal by emailing referrals@bundlecreator.co with "Appeal" in the subject line. Include:
- Your account email address
- The specific action we took
- Your explanation of why you believe it was incorrect
- Any evidence supporting your appeal
We will review appeals within 14 days and respond with our decision, which is final.
6A. Enterprise and Organisational Referrals
IMPORTANT: Enterprise Referral Limits Apply
The standard GBP 5.00 reward applies to individual subscriptions only. Referring an organisation, business, law firm, or any entity that may result in multiple subscriptions is subject to caps and BundleCreator's discretion as set out below.
In Plain English:
If you introduce a colleague to BundleCreator and they sign up as an individual, you get the full GBP 5.00 reward. However, if you refer a law firm, chambers, or other organisation that then purchases many subscriptions, we will cap your rewards at a reasonable level. You cannot simply refer one organisation and claim GBP 5.00 for each of their 500 employees.
6A.1 What Is an "Enterprise Referral"?
An Enterprise Referral occurs when you refer, introduce, or facilitate a relationship with:
- A law firm, chambers, or legal practice
- A business, company, partnership, or organisation of any kind
- A government department, local authority, or public body
- Any entity that may result in 3 or more subscriptions being purchased
- Any group purchasing arrangement or centralised procurement
6A.2 Standard Enterprise Referral Cap
Under the standard referral programme terms, Enterprise Referrals are subject to the following limitations:
Maximum Reward Per Organisation: GBP 50.00
This equates to the first 10 subscriptions from any single organisation. Subscriptions beyond the first 10 from the same organisation will not generate additional referral rewards under the standard programme.
This cap applies regardless of when the subscriptions are purchased. If an organisation purchases 5 subscriptions in January and 10 more in March, you would receive rewards for the first 10 only (GBP 50.00 total).
6A.3 Examples
Individual Referral (Full Reward)
You refer your friend Sarah, a sole practitioner. She signs up for a personal subscription. You receive GBP 5.00.
Small Firm Referral (Capped Reward)
You refer Smith & Jones LLP, a firm with 8 solicitors. They purchase 8 subscriptions. You receive GBP 40.00 (8 x GBP 5.00, within the 10-subscription cap).
Large Firm Referral (Cap Applied)
You refer Major Law LLP, a firm with 50 fee earners. They purchase 50 subscriptions. You receive GBP 50.00 (capped at 10 subscriptions), NOT GBP 250.00.
Bespoke Arrangement
You have a relationship with a 200-person legal department at a major corporation. Contact us first at partnerships@bundlecreator.co to discuss a bespoke enterprise referral agreement with appropriate compensation.
6A.4 BundleCreator's Rights Regarding Enterprise Referrals
In addition to the standard cap above, BundleCreator reserves the right to:
- Cap rewards at a reasonable threshold for any referral that we determine, in our sole discretion, constitutes an Enterprise Referral
- Adjust the reward amount for Enterprise Referrals where the standard GBP 5.00 per subscription would be disproportionate to the referral effort involved
- Negotiate a separate enterprise referral agreement with different terms, compensation structures, or revenue-sharing arrangements
- Decline to pay rewards that appear designed to exploit the referral programme through Enterprise Referrals
- Require additional verification of your relationship with the organisation and the nature of your referral activity
- Reclassify referrals that were initially treated as individual referrals if they subsequently appear to be part of an organisational purchase
6A.5 Want to Refer a Large Organisation?
If you have a genuine opportunity to introduce BundleCreator to a large organisation, we want to hear from you. We offer bespoke partnership arrangements for significant referrals that may include:
- Higher per-subscription rewards
- Ongoing commission or revenue-sharing arrangements
- Formal partnership or reseller agreements
- Marketing support and co-branding opportunities

6A.6 How Do We Determine Enterprise Status?
We may determine that a referral is an Enterprise Referral based on factors including, but not limited to:
- Multiple subscriptions purchased using the same payment method or billing entity
- Email addresses sharing the same organisational domain (e.g., multiple @lawfirm.co.uk addresses)
- Subscriptions purchased within a short timeframe that suggest coordinated procurement
- Information you provided indicating the referral was to an organisation
- Publicly available information about the relationship between referred users
Our determination of whether a referral constitutes an Enterprise Referral is made in our sole discretion and is final.
6A.7 Prohibition on Internal Organisational Referrals
An organisation, business, law firm, chambers, or any other entity may not use the referral programme to refer its own employees, members, partners, contractors, or associated persons for the purpose of obtaining subscription credits or discounts. Referrals must be made to genuinely independent third parties with whom the Referrer does not share an employment, contractual, or organisational relationship.
If an organisation wishes to purchase multiple subscriptions for its personnel, this must be arranged as an enterprise account through our partnerships team at partnerships@bundlecreator.co, not through the referral programme.
Any referral credits obtained through internal organisational referrals shall be forfeited, and the referring account may be suspended or terminated at our sole discretion.
6A.8 Anti-Circumvention
Any attempt to circumvent the Enterprise Referral caps will be treated as programme abuse under Section 6 (Anti-Fraud Provisions). This includes:
- Asking organisational users to sign up individually using personal email addresses to avoid detection
- Spreading organisational sign-ups across multiple referral codes you control
- Coordinating with others to split an Enterprise Referral into multiple individual-appearing referrals
- Misrepresenting the nature of your relationship with the referred users
Consequences for circumvention include forfeiture of all rewards and permanent ban from the programme, as detailed in Section 6.2.
7. Marketing and Promotion Guidelines
7.1 Permitted Activities: Personal recommendations, your social media (with disclosure), your website/blog, professional networking.
7.2 Disclosure Requirements: You must clearly disclose your financial relationship and comply with ASA guidelines. Use statements like "I earn a small reward when you sign up using my link".
7.3 Prohibited Marketing: No paid ads using our trademarks without permission, no false claims, no spam, no targeting vulnerable individuals.
10. Indemnification
In Plain English:
If your actions as a referrer cause legal problems for us (for example, if you make misleading claims and someone sues us), you agree to cover our costs and any damages we have to pay. This protects us from liability for things you do that we did not authorise.
10.1 You shall indemnify and hold harmless Steleo Publishing Ltd, its directors, officers, employees, and agents from and against all claims, losses, damages, costs, and expenses (including legal costs on a solicitor-own-client basis) arising from or in connection with:
- your breach of these Referral Terms;
- your marketing activities in connection with the Referral Programme;
- any claim that your marketing materials infringe third-party intellectual property rights;
- any claim by a referred subscriber or third party arising from your actions or omissions;
- your failure to comply with applicable laws or professional conduct rules.
10.2 This indemnity shall survive termination of your participation in the Referral Programme.
10.3 If you are a regulated legal professional (solicitor, barrister, or legal executive), you acknowledge that you remain solely responsible for compliance with your professional conduct rules, including any requirements under:
- The SRA Standards and Regulations (for solicitors) - particularly regarding referral arrangements and client disclosure
- The BSB Handbook (for barristers) - particularly rC10 regarding misleading conduct
- CILEx Regulation requirements (for legal executives)
Note: We do not provide legal advice on your professional obligations. If you are unsure whether participating in this programme requires disclosure to clients or regulatory approval, please consult your professional body or compliance officer.
What This Means in Practice:
- Scenario 1: You post on social media that "BundleCreator is endorsed by the Law Society" (which is not true). Someone relies on this and later complains. If we face legal costs or pay compensation, you must reimburse us.
- Scenario 2: You send spam emails promoting your referral code in breach of GDPR/PECR. If the ICO investigates us or we receive complaints, you must cover our costs of responding.
- Scenario 3: As a solicitor, you fail to disclose the referral fee to your client as required by SRA rules. If your client complains to the SRA and we are drawn into the matter, you indemnify us for our costs.
11. Limitation of Liability
In Plain English:
This section limits how much we could owe you if something goes wrong with the programme. UK law requires us to be clear about this. We cannot limit liability for things like fraud or negligence causing death/injury - those protections always apply to you.
11.1 What We Cannot Limit (Your Protected Rights)
Nothing in these Referral Terms excludes or limits our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- any other liability that cannot be excluded or limited by applicable law (including the Consumer Rights Act 2015).
11.2 Maximum Liability Cap
Subject to clause 11.1, our total aggregate liability to you under or in connection with these Referral Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to:
The total Commission paid to you in the twelve (12) months preceding the claim.
For example, if you earned GBP 150 in commission over the past year and then made a claim against us, our maximum liability would be GBP 150.
11.3 Types of Loss We Exclude
Subject to clause 11.1, we shall not be liable to you for:
- any indirect, consequential, special, or exemplary damages;
- any loss of profits, revenue, business, goodwill, or anticipated savings;
- any loss arising from referrals that do not qualify as Qualifying Referrals;
- any suspension or termination of the Referral Programme in accordance with these Referral Terms;
- any issues with third-party services including Stripe Connect, payment processors, or banks.
11.4 Programme Provided "As Is"
The Referral Programme is provided "as is" and "as available" without any warranties, express or implied, to the maximum extent permitted by law. We do not guarantee:
- that the programme will be available at all times;
- that your referral code will result in any particular number of signups;
- any minimum level of commission earnings;
- that the programme will continue indefinitely (we may modify or terminate it at any time with notice).
11.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Referral Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
- natural disasters, pandemics, or acts of God;
- acts of government or regulatory changes;
- third-party service failures (including Stripe, banks, or hosting providers);
- cyber attacks or security incidents;
- strikes, lockouts, or industrial disputes.
Important Note for Consumers
If you are participating in this programme as a consumer (not in the course of business), your statutory rights under the Consumer Rights Act 2015 are not affected by these terms. If any provision in this section conflicts with your statutory rights, your statutory rights shall prevail.
8. Programme Changes and Termination
8.1 Right to Modify: We may modify, suspend, or terminate the programme at any time, including changing reward amounts, eligibility criteria, or discontinuing entirely.
8.2 Notice: We will endeavour to provide reasonable notice of material changes. Continued participation constitutes acceptance.
8.3 Effect of Termination: Any balance meeting the minimum threshold will be paid within 30 days, subject to fraud verification. Pending referrals may not be credited. Balances below minimum will be forfeited.
10. General Terms
10.1 You are an independent participant, not an employee or agent.
10.2 Governed by the laws of England and Wales with exclusive jurisdiction of English courts.
10.3 If any provision is unenforceable, the remainder continues in effect.
10.4 These terms, together with our Terms of Service and Privacy Policy, constitute the entire agreement.
10.5 You may not assign your participation without written consent.
